Terms governing the use of adam.ua — an agricultural B2B marketplace connecting Ukrainian farmers with verified input suppliers. By using the platform you accept these terms.

1. Marketplace role

ADAM is a B2B marketplace operator. We do not own, store, or sell agricultural inputs. The transaction of record is between the farmer (buyer) and the verified vendor (seller).

Our role: connect parties, verify vendor identities, hold payments in LiqPay/Wayforpay escrow until delivery confirmation, mediate disputes.

2. Account eligibility

Farmers: Ukrainian agricultural producers (registered as ФОП, ТОВ, ПрАТ, or family farm).

Vendors: business-verified Ukrainian or EU-registered suppliers of agricultural inputs.

Both: must be 18+ and authorized to enter binding contracts.

3. Vendor verification

Every vendor on ADAM passes business-document verification before listing — UA registration certificate, tax ID, bank confirmation, and product-license check (DSTU compliance for fertilizers, registration in Ukrainian state pesticide register, etc.).

Verification does NOT guarantee quality of every product unit. Counterfeit-protection is materially stronger than open Viber/Telegram channels but not absolute. Any complaint triggers our dispute-resolution flow.

4. Orders and payments

Quote requests are non-binding offers to negotiate. Acceptance creates a contract between farmer and vendor.

Payment is processed via LiqPay or Wayforpay and held in escrow until the farmer confirms delivery (or 7 days after carrier-confirmed delivery, whichever comes first).

Platform fee: 3% of order value, charged to the vendor. Farmers pay no platform fee.

5. Delivery and acceptance

Vendors are responsible for delivery to the farmer's specified address (Nova Poshta, tank truck, or self-pickup). Tracking number must be provided within 24h of dispatch.

Farmers must inspect goods upon delivery and report defects within 48h. After 48h without dispute, the order is considered accepted and escrow is released.

6. Dispute resolution

Disputes are mediated by ADAM within 7 business days. Both parties can submit evidence (photos, lab reports, communication threads).

Outcomes: full refund, partial refund, replacement shipment, or release to vendor. ADAM's mediation decision is binding under platform terms; either party retains the right to pursue Ukrainian commercial court action.

7. Prohibited uses

Counterfeit or unregistered agricultural products.

Inputs banned under Ukrainian or EU law (e.g. Annex II Pesticide Regulation 1107/2009 substances).

Cross-border sales violating sanctions regimes.

Off-platform circumvention of escrow / platform fees.

8. Limitation of liability

ADAM's liability is capped at the platform fee paid for the disputed order.

We are not liable for: vendor product defects (vendor is responsible), force majeure (war, blockades, weather), or third-party logistics failures (carrier is responsible).

9. Product information and trademarks

Product listings, specifications, descriptions and images are compiled from publicly available manufacturer sources and are provided for general guidance only. ADAM does not warrant their accuracy, completeness or currency — confirm all details with the vendor before purchase; where the listing and the vendor's or manufacturer's information differ, the latter prevails.

Brand names, logos and trademarks shown on ADAM are the property of their respective owners and are used solely to identify the products offered. A listing implies no affiliation with, sponsorship by, or endorsement by the trademark owner. Rights holders may request correction or removal of their material via our legal contact.
